PUBLIC OFFER AGREEMENT (TERMS OF SERVICE)

1. GENERAL PROVISIONS

1.1. This document is a public offer (the "Agreement") of Skills Up Limited, a company incorporated in Hong Kong (Certificate of Incorporation No. 79371456, Business Registration No. 79371456-000-12-25-5), hereinafter the "Provider", addressed to any natural person aged 18 (eighteen) or over (the "Customer") to purchase online educational services on the terms set out below.

1.2. The Provider's website https://skillsupschool.com (the "Website") displays the services available and their prices. The Customer's order and payment constitute the Customer's offer to enter into the Agreement; the Agreement is concluded at the moment the Provider confirms the order and/or grants access to the service.

1.3. By completing payment for a service, the Customer confirms that they have read, understood and fully and unconditionally accept this Agreement. If the Customer does not agree with any provision of this Agreement, the Customer must refrain from using the services.

1.4. The Provider may amend this Agreement at any time by publishing the new version on the Website. The version in force at the time of the Customer's payment applies to that purchase.

1.5. This Agreement, upon performance, also serves as the act of acceptance of the services rendered; the services are accepted by the Customer without signing a separate act.

1.6. The Provider and the Customer confirm that they each have the legal capacity required to enter into and perform this Agreement.

2. DEFINITIONS AND TERMS

2.1. Services — online educational services (drawing, digital art, illustration and related courses) provided through the Website and the learning platform.

2.2. Course / Package / Profession — a single course or a bundle of Services as described on the Website.

2.3. Account — the Customer's personal account on the learning platform granting access to the purchased Services.

2.4. Curator — a specialist who provides feedback and reviews assignments where the relevant Service format includes such support.

3. SUBJECT OF THE AGREEMENT

3.1. The Provider undertakes to provide the Customer with access to the selected Services, and the Customer undertakes to pay for and accept them, on the terms of this Agreement.

3.2. The scope, format, duration and access period of each Service are described on its page on the Website and form an integral part of this Agreement.

4. PRICE AND PAYMENT

4.1. Prices for the Services are stated on the Website in US dollars (USD) and may be changed by the Provider at its discretion; the price applicable to a purchase is the price displayed at the moment of payment.

4.2. Payment is made on a prepayment basis via PayPal (including international Visa / Mastercard cards processed through PayPal). A Service is deemed paid upon the Provider's receipt of confirmation of a successful payment.

4.3. Any bank or payment-system fees and any currency-conversion costs are borne by the Customer.

4.4. An order-confirmation email does not in itself constitute confirmation of payment or conclusion of the Agreement if payment has not been received.

5. REFUND POLICY

5.1. Before access to the Service is granted or before the course start date, the Customer may cancel and receive a full refund of the amounts paid.

5.2. After access to the Service has been granted or the course has started, the Provider refunds the value of the unused part of the Service; the part already provided (including lessons and materials made available and curator sessions that have taken place) is non-refundable.

5.3. Curator sessions (online or offline) missed at the Customer's own initiative are deemed rendered and are not subject to refund.

5.4. For self-paced (asynchronous) Services, the used part is calculated on a pro-rata basis according to the access period elapsed; for Packages and Professions, refunds are calculated per the individual Services comprising them.

5.5. Refund requests are submitted to sale@skillsupschool.com. Approved refunds are returned via the original PayPal payment method within 30 (thirty) days.

5.6. This refund policy is without prejudice to any mandatory consumer-protection rights the Customer may have under the laws of their country of residence.

6. PROVISION OF SERVICES

6.1. Access to a Service is granted to the Customer's Account after payment, within the timeframe stated on the Website, or immediately in the case of self-paced Services.

6.2. The Customer is responsible for providing accurate registration data and for the security of their Account credentials.

6.3. The Provider may engage third parties (curators, platform and infrastructure providers) to perform the Services while remaining responsible to the Customer for their performance.

7. CERTIFICATE

7.1. Upon completion of a Course in accordance with its conditions (including the required assignments where applicable), the Customer receives a completion certificate in electronic form.

8. INTELLECTUAL PROPERTY

8.1. All course materials (videos, texts, images, assignments and methodology) are the intellectual property of the Provider and/or its licensors and are protected by law.

8.2. The Customer is granted a personal, non-exclusive, non-transferable right to use the materials solely for personal learning. Any reproduction, distribution, public display, resale or transfer of the materials to third parties is prohibited.

9. PERSONAL DATA

9.1. The Customer consents to the processing of their personal data for the purpose of providing the Services, in accordance with the Provider's Privacy Policy published on the Website.

10. LIABILITY

10.1. The Services are provided on an "as is" basis. The Provider does not guarantee any specific commercial or career result, as such a result depends on the Customer's own effort.

10.2. To the maximum extent permitted by applicable law, the Provider's aggregate liability is limited to the amount paid by the Customer for the relevant Service.

10.3. The Provider is not liable for failures caused by the Customer's equipment, internet connection, or third-party services.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1. This Agreement is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

11.2. The parties shall first seek to resolve any dispute through negotiation (claim procedure), with 30 (thirty) days to respond to a written claim from the date of its receipt.

11.3. Failing an amicable settlement, any dispute shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.

12. FINAL PROVISIONS

12.1. If any provision of this Agreement is held to be invalid, the remaining provisions shall remain in full force and effect.

12.2. The Customer's payment confirms acceptance of all the terms of this Agreement.
